Agreement
Please read these terms and conditions carefully before applying to or participating in the Betkali Affiliate Program.
01 Application of Terms
a. This Agreement applies to your application to and participation in the Betkali Affiliate Program.
b. You may not participate in the Betkali Affiliate Program unless you accept this Agreement. By registering for an account or using our promotional materials, you signify your binding acceptance of these terms.
02 Betkali's Rights and Obligations
2.1. Registration of Customers
2.1.1. We will register Customers and track their transactions. By opening an account with us all Customers shall be subject to Betkali Policies.
2.1.2. Betkali may reject at any time any new customer, and/or may close a customer's account if we believe that it is necessary to comply with our policies, and/or for the protection of the Company's best interests.
2.1.3. If the Affiliate does not comply or breaches any part of this Agreement, Betkali may close the Affiliate's account(s) and take other legal actions or any other legal measures to protect Betkali's interests.
2.2. Tracking Customers' Play
2.2.1. We will track your Customers' bets and plays making available to you a report summarizing their activities, which you can access from the provided affiliate portal.
2.3. Commission
2.3.1. We will pay you a commission based on the Net Profit we earn from placed bets at Sports at Betkali, Virtual Games at Betkali or Jackpot at Betkali.
2.3.2. Net Profit is defined as: gross monies received by us in respect of all settled bets made by Customers after deducting; (i) winnings; (ii) betting duties or taxes; (iii) bad debts; (iv) fraud; (v) returned stakes; (vi) chargebacks or mobile money withdrawal charges; (vii) voids and (viii) bonuses.
2.4. Restriction on Negative Balance Carryover
2.4.1. The Affiliate is entitled to Commission from the Net profit as described in paragraph 2.3 above.
2.4.2. Where, in any month, the Affiliate Account reflects negative balances, no Commission shall be paid. However, negative balances shall not be carried over beyond the month in which they were incurred. We shall reset your affiliate account(s) to zero at the beginning of the next month.
2.5. Revenue Share Pay-out Conditions
i. Your Betkali affiliate account must have a minimum of 30 (thirty) Active Referred Customers before you will be eligible for Revenue Share payment. An "Active Referred Customer" is defined as a visitor who has registered, deposited funds, and conducted cash betting activity.
ii. You are entitled to one payout per month, provided you have fulfilled the above Customer requirement at the end of the preceding month.
iii. Under the self-billing procedure, you must make a payment request via your account on the Betkali online platform, following which we will raise an invoice.
iv. All VAT obligations remain exclusively your responsibility.
v. Bank transfers will appear on your bank statement with reference 'BETKALI PARTNERS'.
03 Affiliate's Rights and Obligations
3.1. Marketing
3.1.1. You shall create and maintain unique links from your site to the Betkali Websites using only approved banners and materials.
3.1.2. You shall market and bring new customers to all Betkali services at your own expense and take full responsibility for your actions.
3.1.3. You will not actively market to persons under 18 years of age.
3.1.4. You will only use approved advertising creative and will not alter their appearance.
3.2. Minimum Referral Requirement
You shall refer a minimum of 30 (ten) active Customers within a three-month period of joining the program. Failure to reach this requirement may result in a review of the Agreement terms.
3.3. Spamming
We will terminate this Agreement immediately without recourse if there is any form of spamming or illegal advertising.
04 Confidentiality
You agree to avoid disclosure or unauthorized use of any confidential information relating to our business, operations, or technology both during and for 2 years after the termination of this Agreement.
05 Data Protection
You shall always comply with the laws and regulations pertaining to Data Protection in Kenya and any other applicable jurisdiction.
06 Termination
6.1.1. The initial term of this Agreement is one (1) year, renewing for further one-year periods.
6.1.2. Either party may terminate this Agreement by giving seven (7) days written notice.
6.1.3. Betkali is entitled to terminate immediately if we determine your site is unsuitable (contains pornography, promotes violence, discrimination, etc.) or if you breach the program rules.
07. Force Majeure
Parties shall not be liable for breaches resulting from events of Force Majeure (floods, earthquakes, war, legislation changes).
08. Indemnity
You shall defend and indemnify Betkali from liabilities arising out of your breach of warranty or negligence.
09. Disclaimers
We make no express or implied warranties regarding the program. Operation of our sites may not be uninterrupted.
10. Liability
Our aggregate liability will not exceed the total Revenue Shares paid or payable to you under this Agreement.
11 Independent Investigation
You acknowledge that you have independently evaluated the desirability of participating in this program and are not relying on any representation other than as set out in this Agreement.
12 Miscellaneous
12.1. Relationship: Independent contractors, not a partnership or agency.
12.2. Governing Law: The laws of Kenya will govern this Agreement.
12.3. Severability: Each provision is interpreted to be valid; if one is invalid, the remainder continues.
